At Ordegate, we are more than just a technology platform — we are a trusted partner for businesses seeking to take control of their digital sales channels. Our mission is to provide an equitable, transparent, and powerful ordering infrastructure where merchants can build, grow, and operate independently without reliance on high-commission third-party marketplaces. These Terms of Service ("Terms") form a legally binding agreement between you ("Merchant," "User," "you," or "your") and Ordegate ("we," "us," or "our"). They govern your use of our website, dashboard, POS systems, storefronts, APIs, and all related services (collectively, the "Platform"). By accessing or using the Platform, you agree to these Terms.
1.1 "Ordegate" — The company providing the Platform, including its subsidiaries, affiliates, officers, directors, employees, and authorized agents.
1.2 "Platform" — Ordegate's website (ordegate.com), merchant dashboard, storefront builder, POS applications, APIs, mobile applications, and any related services that facilitate the creation and management of digital sales channels.
1.3 "User" or "Merchant" — Any individual or business entity accessing or using the Platform.
1.4 "Customer" — An end user who browses, places orders, or interacts with a Merchant's Ordegate-powered Storefront.
1.5 "Storefront" — The branded online ordering page created by a Merchant using Ordegate's templates and tools.
1.6 "Subscription" — The recurring monthly payment plan selected by the Merchant (Free, Growth, or Pro).
1.7 "Add-On" — Optional paid modules extending Platform functionality, including POS, KDS, Dispatch, Call Centre, AI Chatbot, AI Marketing, Payment Links, and Loyalty.
1.8 "Service Fees" — The recurring monthly fees charged for Subscriptions and Add-Ons. Ordegate uses flat-rate pricing with no per-order fees.
You must be at least 18 years old, have the legal capacity to enter into binding agreements, and comply with all applicable local, national, and international laws. You may not use the Platform if you have previously been banned by Ordegate, are on a government sanctions list, or intend to use the Platform to sell prohibited items (illegal goods, counterfeit products, controlled substances, weapons).
You must register for an account to access Platform features. You are responsible for providing accurate, complete, and up-to-date information during registration and throughout your use. You must maintain the security and confidentiality of your account credentials and notify Ordegate immediately of any unauthorized access at support@ordegate.com. Users may not register multiple accounts without prior written approval from Ordegate.
You agree to use the Ordegate Platform only for its intended purposes: creating and managing branded digital storefronts, managing product catalogs and pricing, processing and managing customer orders, and accessing analytics and reporting to improve business performance.
You must not engage in fraudulent behavior (false information, impersonation, fake orders), harmful conduct (illegal products, money laundering), technical misuse (hacking, reverse engineering, bots or scrapers, introducing malware), or legal violations (listing products that violate local laws, health regulations, or intellectual property rights).
As a Merchant, you are responsible for ensuring your Storefront is accurate and up-to-date, complying with all applicable laws (business permits, licenses, food safety, tax obligations, data protection), fulfilling orders in a timely and accurate manner, providing responsive and professional communication with Customers, and setting and enforcing your own customer-facing refund and return policies.
All prices are in USD. All paid plans use flat-rate pricing — you keep 100% of your order revenue.
Volume discounts apply: 15% off for 3 Add-Ons, 25% off for 4 Add-Ons, 35% off for 5 or more Add-Ons.
Subscription and Add-On fees are billed monthly in advance. If a payment fails, Ordegate will notify you and provide a 7-day grace period to update your payment method. If unresolved after the grace period, your Subscription and active Add-Ons may be suspended until payment is received.
Ordegate may offer promotional pricing (such as the current launch offer of 50% off all plans and Add-Ons for the first 6 months). Promotional pricing applies for the stated duration only; standard pricing resumes automatically after the promotional period ends. Ordegate reserves the right to modify or discontinue promotions at any time.
Ordegate owns all intellectual property rights associated with the Platform, including design, code, templates, logos, trademarks, and branding. By submitting content to the Platform, Merchants grant Ordegate a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, display, and distribute the content for operating and marketing the Platform. Merchants retain ownership of their content. Users are prohibited from copying, reverse-engineering, or using Ordegate's intellectual property for any unauthorized purpose.
Ordegate is committed to protecting your personal information in accordance with our separate Privacy Policy. As a Merchant, you are responsible for complying with all applicable data protection laws regarding your Customers' data and implementing appropriate privacy policies on your Storefront.
Merchants may cancel their Subscription at any time through Settings > Billing or by contacting support@ordegate.com. Cancellation takes effect at the end of the current billing period. Data is retained for 30 days after cancellation, then permanently deleted. Refunds are available for platform downtime exceeding 48 hours, billing errors, and within the first 14 days for new merchants (conditions apply). Ordegate provides the Platform "as is" and "as available" without warranties of any kind. Ordegate shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities. Ordegate's total aggregate liability for any claim shall not exceed the total fees paid by you to Ordegate in the 12 months immediately preceding the event giving rise to the claim.
You agree to indemnify, defend, and hold harmless Ordegate and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses arising from your use of the Platform, violation of these Terms, violation of any applicable law or third-party right, content you upload to the Platform, your products or business operations, or any dispute between you and a Customer.
Ordegate may suspend or terminate a Merchant's account for violations of these Terms, illegal or harmful behavior, non-compliance with legal obligations, repeated failed payments, or consistent customer complaints. Ordegate will notify the Merchant via email with the reason and any appeal process, except in urgent cases involving suspected fraud. Merchants may appeal by submitting a written request to support@ordegate.com.
For any dispute, contact support@ordegate.com first. Ordegate will acknowledge receipt within 24 hours and work in good faith to resolve the matter within 7–14 business days. If internal resolution is unsuccessful, either party may request mediation through a mutually agreed-upon mediator. If mediation fails, disputes will be resolved through binding arbitration. Legal claims must be filed within one year from the date the cause of action occurred.
These Terms are governed by and construed in accordance with the laws applicable in the jurisdiction where Ordegate is registered. Merchants are responsible for ensuring their use of the Platform complies with local laws in their own jurisdictions.
Ordegate reserves the right to update these Terms. Merchants will be notified via email and Dashboard notification at least 30 days in advance for significant changes. Continued use of the Platform after the revised Terms take effect constitutes acceptance.
Ordegate integrates with third-party services including PayPal and Paymob (payment processing), WhatsApp Business API (ordering notifications), Firebase/Google (backend services), and Cloudflare (hosting and content delivery). The inclusion of third-party services does not imply endorsement. Ordegate disclaims liability for losses arising from third-party services. Users interact with third-party services at their own risk.
Ordegate shall not be liable for any failure or delay in performing its obligations resulting from circumstances beyond its reasonable control, including natural disasters, acts of war or terrorism, government actions or restrictions, pandemics, or widespread infrastructure failures. Ordegate will make reasonable efforts to resume normal operations as soon as possible.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect. The failure of Ordegate to enforce any right or provision shall not constitute a waiver of that right or provision.
These Terms, together with the Privacy Policy, Cookie Policy, and Refund and Cancellation Policy, constitute the entire agreement between you and Ordegate regarding your use of the Platform.
